Terms of Service
These Terms of Service govern your access to and use of PreClear Business and related services provided by PreClear Cybersecurity, Inc.
Effective: August 27, 2026
1. Agreement to these Terms
By creating an account, purchasing a subscription, accessing, or using PreClear Business, you agree to these Terms of Service. If you use PreClear Business on behalf of an organization, you represent that you have authority to accept these Terms on behalf of that organization.
If you do not agree to these Terms, you may not access or use PreClear Business.
2. PreClear Business
PreClear Business is a cybersecurity service designed to help organizations evaluate supported files and other security information, generate Trust Decisions, maintain security evidence, and support organizational security and governance workflows.
Features and capabilities may vary by subscription plan and may change as the service evolves.
3. Accounts and organizations
You must provide accurate information when creating and maintaining your account and organization.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You must promptly notify PreClear if you believe your account or credentials have been compromised.
Organizations are responsible for determining which users may access their PreClear organization and for assigning appropriate roles and permissions to those users.
4. Subscriptions and billing
Certain PreClear Business features require a paid subscription. Subscription prices, billing intervals, and included features are presented when you purchase or manage your subscription.
By purchasing a subscription, you authorize the applicable charges associated with the plan and billing interval you select.
Payment processing and subscription billing are provided through Stripe. Your use of Stripe's payment services may also be subject to Stripe's applicable terms and policies.
5. Renewal and cancellation
Unless otherwise stated at the time of purchase, paid subscriptions automatically renew for the applicable monthly or annual billing period until canceled.
You may manage or cancel your subscription through the subscription management features made available by PreClear.
Cancellation generally prevents future renewal charges and does not retroactively cancel charges already incurred. Access to paid features may continue through the end of the applicable paid billing period, subject to these Terms.
6. Refunds
Except where required by applicable law or expressly agreed otherwise by PreClear, subscription charges are non-refundable.
If you believe a billing error has occurred, please contact PreClear so that we can review the issue.
7. Customer content and submitted files
You retain ownership of files, information, and other content that you or your authorized users submit to PreClear.
You grant PreClear the limited right to process submitted content as necessary to provide, secure, maintain, and support the service.
You are responsible for ensuring that you have the rights, permissions, and lawful authority necessary to submit content to PreClear for analysis.
PreClear does not retain the contents of files submitted for analysis after processing is complete. Security metadata and analysis results associated with a submission may be retained as part of the service.
8. Acceptable use
You may use PreClear only for lawful, authorized cybersecurity and business purposes.
You may not use PreClear to violate applicable law; infringe the rights of another person; gain unauthorized access to systems, accounts, or information; interfere with or disrupt the service; bypass security or access controls; distribute malicious content except where reasonably necessary for authorized security analysis; probe or test PreClear systems without authorization; or use the service in a manner that creates unreasonable security, operational, or legal risk.
PreClear may restrict or suspend access where reasonably necessary to protect the service, our customers, or others from misuse or security threats.
9. Trust Decisions and security results
PreClear provides security assessments, classifications, Trust Decisions, threat intelligence, explanations, and related information based on the data and security indicators available at the time an analysis is performed.
Cybersecurity analysis is inherently probabilistic. Threats, vulnerabilities, malicious techniques, and available threat intelligence continually change.
A PreClear Trust Decision does not constitute a guarantee that a file, system, person, or activity is safe, malicious, free from vulnerabilities, or free from security risk.
An ALLOW decision should not be interpreted as a guarantee that submitted content is harmless. Similarly, BLOCK, QUARANTINE, or other security decisions reflect PreClear's assessment based on the information available at the time.
Your organization remains responsible for determining how security results are used within its broader cybersecurity, risk management, and operational processes.
10. Third-party services
PreClear may rely on or integrate with third-party services, infrastructure, payment providers, security services, and threat intelligence providers in order to deliver certain functionality.
Third-party services are operated by their respective providers and may be subject to separate terms, policies, availability, and technical limitations.
11. Intellectual property
PreClear and its licensors retain all rights, title, and interest in and to PreClear Business, including its software, technology, interfaces, designs, documentation, branding, methods, and other intellectual property, except for customer content.
These Terms do not transfer ownership of PreClear technology or intellectual property to you.
12. Feedback
If you provide ideas, suggestions, or other feedback about PreClear, you permit us to use that feedback to develop, improve, and operate our products and services without restriction or obligation to you.
13. Service availability and changes
We work to provide a reliable service, but PreClear Business may occasionally be unavailable because of maintenance, updates, technical failures, third-party services, security events, or circumstances outside our reasonable control.
We may modify, add, remove, or discontinue features as the service evolves. Where reasonably practical, we will seek to avoid changes that unnecessarily disrupt active customers.
14. Suspension and termination
You may stop using PreClear or cancel your subscription in accordance with the subscription provisions above.
PreClear may suspend or terminate access if you materially violate these Terms, fail to pay applicable charges, misuse the service, create a material security risk, or where suspension or termination is required by law.
Where appropriate and reasonably practicable, we may provide notice and an opportunity to resolve the issue before terminating access.
15. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRECLEAR BUSINESS AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
PRECLEAR DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
PRECLEAR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT EVERY THREAT, MALICIOUS FILE, VULNERABILITY, OR SECURITY CONDITION WILL BE IDENTIFIED.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRECLEAR CYBERSECURITY, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRECLEAR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY THE APPLICABLE CUSTOMER TO PRECLEAR FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you.
17. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PreClear Cybersecurity, Inc. and its officers, directors, employees, and affiliates from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the service, your violation of these Terms, or content you submit without the necessary rights or authorization.
18. Privacy
Our collection and handling of personal information is described in the PreClear Privacy Policy.
19. Changes to these Terms
We may update these Terms as PreClear, applicable law, or our business practices evolve. When we update these Terms, we will revise the effective date shown on this page.
If we make material changes, we may provide additional notice where appropriate. Continued use of the service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
20. Governing law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles.
21. Entire agreement
These Terms, together with the Privacy Policy and any additional written agreement applicable to your use of PreClear, constitute the agreement between you and PreClear concerning the subject matter addressed here.
If PreClear and your organization enter into a separately executed written agreement that expressly conflicts with these Terms, the separately executed agreement will control with respect to that conflict.
